These Terms & Conditions (“Terms”) govern your access to and use of the website, platform, services, and related features offered by UInvest, Inc. (“UInvest,” “we,” “us,” or “our”), available at uinvest24.com (the “Site”), and any accounts or services you use via the Site (collectively, the “Services”). By accessing or using the Services, you (the “User” or “you”) agree to these Terms (and any modifications we make). If you do not agree to any part of these Terms, you must not access or use the Services.
These Terms should be read together with our Privacy Policy, which describes how we collect, use, store, and share your personal data. The Privacy Policy is incorporated herein by reference.
1. Eligibility & Account
- RegistrationEligibility.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
You represent and warrant that you have the legal capacity to enter into these Terms.
You further represent that you are an accredited investor or otherwise satisfy applicable eligibility criteria (if required) to use certain features of the Services.
You must not use the Services if prohibited by any local, national, or international law.
- Account Registration and Verification.
To access certain features, you must register for an account and provide accurate, current, and complete information.
You agree to maintain and promptly update your account information to keep it accurate.
As part of registration and continued use, you may be required to undergo identity verification, provide accreditation evidence, or submit documents (e.g., government ID, proof of income, net worth statements).
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion (e.g., for failing verification, suspected fraud, or violation of these Terms).
- Account Security & Credentials.
You are responsible for safeguarding your username, password, and any credentials or access tokens.
You must notify us immediately if you become aware of unauthorized access or use of your account.
We are not liable for losses resulting from your failure to safeguard your credentials or from unauthorized access to your account.
2. Services; Role & Limitations
- What We Do (and Don’t Do).
UInvest operates a platform that connects accredited investors (“LPs”) with deal sponsors (“GPs”) who are raising capital.
We facilitate matching, document sharing (permissioned data rooms), communications, and related infrastructure to support due diligence, deal evaluation, and investment negotiations.
We are not a broker-dealer, investment adviser, funding portal, or fiduciary. We do not provide investment, legal, tax, or financial advice.
We do not evaluate, endorse, guarantee, or underwrite any deal, sponsor, or investment opportunity.
- User Responsibilities.
You understand and agree that your decisions to engage in any transaction or investment rest entirely with you (and your own advisors).
You are responsible for your own due diligence, assessments of risks, and any decision to invest (or not).
You agree that UInvest is not liable for your investment outcomes, losses, or decisions.
- Matching & Algorithms.
We may use automated or algorithmic processes to match GPs and LPs based on criteria you set.
You may request human review or adjustments to matching results where permitted.
Matching is not guaranteed; you may receive no matches or matches that you decline or reject.
- Third-party integrations & deal materials.
In connection with due diligence or transactions, you may upload, receive, or access documents (pitch decks, financials, term sheets, messages).
You agree to comply with all confidentiality, intellectual property, and use restrictions imposed by counterparties or deal sponsors.
You also agree that any third-party service providers integrated into the platform may process your data (subject to our Privacy Policy).
3. Fees & Payments
- Fees.
Use of certain features or services may require payment of fees, which we will publish or communicate to you (e.g., subscription, platform, success, or administrative fees).
You agree to pay the fees as specified, plus applicable taxes, in the manner and timing provided.
- Changes to Fees.
We may modify fees from time to time. Material changes will be notified to you in advance (e.g., via email or within the platform).
If you do not agree to a fee change, you may terminate your account consistent with Section 8.
- Payment Methods & Authorization.
You authorize us or our payment processors to charge your designated payment method (e.g., credit card, bank transfer) for any fees due.
You must maintain valid payment information and sufficient funds.
If payment fails, we reserve the right to suspend or terminate access to features or your account.
- Refunds.
Unless otherwise specified, fees paid are nonrefundable. Any refund policies will be explicitly stated.
4. Intellectual Property & License
- Ownership.
All content, software, user interface, design, trademarks, logos, and materials on the Site or in the Services (excluding user content) are the property of UInvest or its licensors.
You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.
- License to Use.
Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Services for your own personal and noncommercial purposes (or for your organization as appropriate).
This license does not include any right to sublicense, resell, rent, or make use of the Services in a public or commercial way except as expressly authorized.
- User Content.
“User Content” means all content, documents, pitch decks, messages, data, materials, or information you upload or share via the platform.
You grant UInvest a worldwide, royalty-free, sublicensable license to store, transmit, display, distribute, and use your User Content as necessary to provide the platform services, enforce these Terms, and for internal business purposes (e.g., anonymized analytics).
You represent and warrant that you have all rights to grant such license, and that your User Content does not infringe third-party rights or contain unlawful content.
5. Confidentiality & Non-Disclosure
- Confidential Materials.
Much of the deal and diligence content shared through the platform is confidential and proprietary to the sponsor or issuer.
You agree not to disclose, publish, or use confidential materials except as authorized under the relevant deal terms or by explicit permission.
- Prohibited Uses.
You shall not use the platform or materials for improper purposes (e.g., reverse engineering, scraping, mass distribution, competitive use).
You shall not share your account credentials or permit unauthorized access.
- Survival.
Obligations of confidentiality, non-disclosure, indemnity, and limitation of liability shall survive termination or expiration of access to the Services.
6. Representations, Warranties & Disclaimers
- User Representations & Warranties.
You represent and warrant that:
All information you provide is true, accurate, current, and complete.
You will comply with all applicable laws, rules, and regulations (e.g., securities, anti-money laundering, tax, export).
You will use the Services only for lawful purposes and not for illegal, harmful, or abusive activities.
Your use of the Services does not violate any contract, rights, or obligations you owe to any third party.
- Disclaimers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES (AND ALL CONTENT) ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SYSTEM INTEGRATION.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY FREE OF BUGS OR MALICIOUS ATTACKS.
7. Limitation of Liability & Indemnification
- Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UINVEST (OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, OR LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES.
OUR AGGREGATE LIABILITY (in contract, tort, or otherwise) SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO UINVEST IN THE PRIOR 12 MONTHS (IF ANY).
The foregoing limitations shall not apply to liability for death or personal injury arising from negligence, fraud, or other liabilities which cannot lawfully be excluded.
- Indemnification.
You agree to defend, indemnify, and hold harmless UInvest and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
Your breach of these Terms, Privacy Policy, or other policies;
Your use of the Services;
Your User Content or violation of third-party rights;
Your negligence or willful misconduct.
8. Termination & Suspension
- Termination by UInvest.
We may suspend or terminate your access to all or part of the Services (or your account) at any time, for any reason, with or without notice (e.g., for breach of these Terms, suspected fraud, nonpayment, or legal request).
Upon termination, your right to use the Services ceases immediately.
- User Termination.
You may terminate your account at any time by giving notice via email or via in-platform mechanisms, subject to fulfilling any outstanding obligations (e.g., pending deals, unpaid fees).
Upon termination, we may retain or delete your data in accordance with our Privacy Policy and applicable law.
- Effects of Termination.
All rights and obligations accrued before termination survive (e.g., confidentiality, indemnification, limitations of liability).
We may disable or delete your User Content, account, or any associated data, unless law requires retention.
9. Modifications to Terms
We may modify, amend, or update these Terms from time to time. If we make material changes, we will notify you (e.g., via email or prominent notice). Your continued use of the Services after such changes signifies your acceptance. If you do not accept the changes, you may terminate your account under Section 8.
10. Dispute Resolution, Governing Law & Jurisdiction
- Governing Law.
These Terms, and any dispute or claim arising from them or relating to your use of the Services, shall be governed by and construed in accordance with the laws of the jurisdiction in which UInvest is incorporated (unless otherwise required by mandatory statute), without regard to choice or conflict of law rules.
- Dispute Resolution.
You and we agree to attempt to resolve disputes informally before initiating any litigation.
If informal resolution fails, disputes may be submitted to binding arbitration or resolved in courts of competent jurisdiction, depending on the jurisdiction and applicable law.
Any arbitration or court proceeding must be commenced within a specified time (e.g., one year) after the cause of action arises, or be forever barred.
- Class Action Waiver.
To the maximum extent permitted by law, you and UInvest waive any right to bring or participate in a class action lawsuit or class arbitration.
11. Miscellaneous Provisions
- Severability.
If any provision of these Terms is held to be unenforceable, invalid, or void, the remaining provisions will remain in full force and effect.
- No Waiver.
Our failure to enforce a right or provision does not constitute a waiver of that right or future enforcement.
- Assignment.
We may assign or transfer our rights under these Terms (e.g., in a merger or acquisition). You may not assign your rights without our prior written consent.
- Notices.
Notices or communications under these Terms may be delivered via email, in-platform messaging, or posted on the Site. Notices are effective when delivered (or as specified).
- Entire Agreement.
These Terms, together with the Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and UInvest regarding the Services, superseding all prior or contemporaneous communications.
